Abstract of Title Godsell & Sons to a Messuage formerly known as The New Inn High Street Tewkesbury contracted to be sold to Sidney Baker and others

13th July 1897 – By Indenture of this date made between

  1. Francis Jelleyman of Merthyr Tydfil Glamorgan butchers manager
  2. George William Godsell; James Uriah Godsell; Thomas Henry Godsell and Edward Samuell Godsell all of Salmon Spring Brewery near Stroud brewers

After Reciting that the said Francis Jelleyman was seized in fee simple free from incumbrances of the hereditaments thereinafter described and intended to be conveyed and that Francis Jelleyman had agreed to sell the said hereditaments at the price of £285
It was witnessed that for £285 paid to said Francis Jelleyman by the parties of the second part (receipt acknowledged) – the said Francis Jelleyman grants – 
ALL THAT FRONT MESSUAGE or Licensed Beerhouse and premises thereto belonging situate in the High Street Tewkesbury commonly called or known as “The New Inn” formerly in the occupation of Richard Collins late of the said Francis Jelleyman and then of Joseph James Briginshaw
To hold to the use of the parties of the second part

20th June 1906

By Indenture of this date made between

  1. Godsell & Sons Ltd (hereinafter called The Company) whose registered Office was at Salmons Spring Brewery Stroud 
  2. George Taylor of Cranfield Park near Hounslow Middlesex farmer and Josiah James Stephens of Upper Gannicox Stroud hop merchant (thereinafter called The Present Trustees)

After reciting that the Company was on 11th July 1905 duly incorporated under the Companies Act 1862 to 1900 as a Company Limited by Shares

And Reciting that the Company had determined to issue Mortgage Debentures securing in the aggregate £110,000 and carrying interest of 4% and had agreed that the same should be in the form set out in the 2nd Schedule hereto – and had also agreed that the said sum of £110.000 and interest should be secured in the manner thereinafter appearing

It Was Witnessed (made in pursuance of the said agreement and for the consideration aforesaid) as follows (inter alia) 

  1. The Company as beneficial owner thereby conveyed to the present Trustees – All Those freehold lands tenements and hereditaments comprised in the 1st and 2nd parts of the 1st schedule thereto

To hold to use of the present Trustees in fee simple subject nevertheless as to such thereof as were affected thereby to all Leases or Agreements for Leases and all easements rights and restrictions to which the same were then subject and to any notices issued by any Public Authorities affecting the same (and also subject to the hereditaments specified in the 2nd Part of the said 1st Schedule thereunder written to the Indentures of Mortgage and other charges and the principal monies and interest thereby respectively secured which were specified in the 2nd part of the said 1st schedule ) upon the trusts and with and subject to the powers and provisions thereinafter declared and concerning the same

The said Freehold Leasehold and copyhold premises thereinbefore conveyed covenanted to be demised and granted and covenanted to be surrendered and the business undertaking debts things in action plant machinery chattels and other present And future property and assets of the Company thereinbefore charged (all of which are therein called The Mortgaged Premises) should be held by and stand charged in favour of the Trustees on trust that they should permit the Company or its assigns to hold and enjoy the mortgaged premises and every part thereof and to use the same in and for the business of the Company and to collect and to receive the things in action until the trust for sale thereinafter mentioned …………………………
